Agreement for Sale of Advertising Space

This Agreement (“Agreement”) is being executed on day of Payment Received in EezyLife Bank Account (Commencement Date) by and between:

EezyLife Systems , a company registered under the Companies Act, 1956 having its Corporate Office at 8, Dakshin Marg, DLF Phase – II, Gurugram – 122002, INDIA (hereinafter referred to as “Company”, which expression shall, unless it be repugnant to the context or meaning thereof, include its Affiliates (as defined below); successors-in-interest and permitted assigns) of the ONE PART;


Company who is transferring money on EezyLife Bank account by any medium for the app Advertisement a company incorporated under the Companies Act, 1956 having its office at Address provided by the company (herein after referred as “Advertiser”) which expression shall, unless it be repugnant to the context or meaning thereof, include its Affiliates (as defined below); successors-in-interest and permitted assigns.


Individual who is transferring money on EezyLife Bank account by any medium for the app Advertisement (herein after referred as “Advertiser”) which expression shall, unless it be repugnant to the context or meaning thereof, include its Affiliates (as defined below); successors-in-interest and permitted assigns.

  1. Definitions

1.1 The following words and expressions shall have the following meanings unless the context otherwise requires:

“Advertisement” means any page or part thereof containing graphics or text put forward by the Advertiser to be printed or substituted on a page or separately inserted into a Magazine; or displayed in an electronic format like App based Ad.

“Advertiser” means an advertising agency where an advertising agency is used or any person, partnership or company and/or its agent placing bookings for the insertion of an Advertisement;

“Advertising Booking Form” means confirmation by the Company in writing (by post or by email) that your booking has been accepted; attached herewith as Schedule A.

“Advertising Copy” means advertising text, content or graphics intended for reproduction by the Company as an Advertisement;

“Advertising Rate” means the rates set out from time to time in the Schedule B;
“Advertising Space” means advertising space available on an electronic medium booked by the Advertiser pursuant to these Terms;

“Advertisement Specifications” means the specification for Advertisements set out in the Advertising Booking Form;

“Company” means ________________ a company registered in India having its registered office is at _______________________________________________________;

“Agreement” means any agreement for the sale and purchase of Advertising Space which is entered into between the Company and the Advertiser;

“Terms” means these terms and conditions and the terms of the Privacy Policy and the Site Terms and Conditions of Use;

“Working Day” means each day excluding Saturdays, Sundays and bank and other public holidays.

1.2 In these Terms

1.2.1 words in the singular include the plural meaning and words in the plural include the singular meaning; use of any gender includes the other genders;

1.2.2 headings are for reference only and do not affect the meaning or interpretation of these Terms;

1.2.3 references to any act, regulation, code of practice or statutory order shall be interpreted so as to include any change, re-enactment or extension of the act, regulation, code of practice or statutory order; and

1.2.4 any reference to “persons” includes natural persons, firms, partnerships, companies, corporations, associations, organisations, governments, states, foundations and trusts (in each case whether or not having separate legal personality).

  1. Basis of Agreement

2.1 These Terms shall apply to the sale by the Company of all Advertising Space purchased by the Advertiser via any payment mode and these Terms shall govern each Agreement to the exclusion of any other terms and conditions introduced or submitted by the Advertiser.

2.2 When an Advertiser places a booking for Advertising Space with the Company through writing via the Advertising Booking Form or by Email as mutually agreed will constitute an offer.

2.3 Acceptance of a booking and the completion of the Agreement shall take place on the date of the Company’s Advertising Booking Form or the Email sent by company or its representatives.

  1. Acceptance of Advertisement

3.1 Advertisements are accepted subject to the following conditions:

3.1.1 the Advertising Copy or email must be received by the Company no later than 1 week prior to the relevant date and the Advertiser shall supply the Advertising Copy or email in such forms as the Company shall specify in the Advertisement Specifications.

3.1.2 approval of Advertising Copy or email shall not in any way prejudice the Company’s right to reject the Advertising Copy; and

3.1.3 advertising Space being available.

3.2 The Company has at its absolute discretion the right to omit, suspend or change the position of any Advertisement accepted including but not limited to the following reasons:

3.2.1 to comply with legal or moral obligations placed on the Company or any Advertiser; and

3.2.2 to avoid infringing third party’s rights, under the general supervision of the Advertising Standards Council of India (ASCI).

3.3 If the Company decides that the Advertisement Copy or email having Advertisement content is unsuitable in accordance with clause 3.2, the Company will notify the Advertiser in writing who must supply an alternative copy within 2 Working Days of receiving the notification unless otherwise agreed by the Company in writing. If the alternative copy or email is not accepted, the Company shall be entitled at its discretion to repeat a previous accepted Advertisement Copy or email or to publish other suitable material and shall be paid by the Advertiser in full for the Advertising Space booked.

3.5 The Company may make any additions to, changes in or deletions from any Advertisement Copy or email required by any competent authority, provided that the Company shall inform the Advertiser prior to making any addition, change or deletion, where reasonably practicable.

3.6 In the event that the Advertising Copy or email does not comply with the Advertisement Specification the Company shall be permitted to either reject or change the Advertising Copy or email having advertisement content to comply with the Advertising Specification. Such changes may include (but are not limited to) reformatting, cropping, resizing and editing.

3.7 In the event that the Company fails to publish any Advertisement in accordance with clause 3.2, 3.3, 3.4, 3.5 and 3.6, the Company shall not incur any liability to the Advertiser for any damage or loss in respect of non-publication.

3.8 It is the responsibility of the Advertiser to check that the Advertisement Copy or email having advertisement content is correct. Without prejudice to clause 3.2, the Company accepts no liability for any error in the Advertisement, or in the case of multiple Advertisements the repetition of an error unless notified to the Company immediately at the point at which the error occurs.

  1. Advertisement Content and Advertisement Warranties

4.1 The Advertiser warrants that:

4.1.1 it has the full power and authority to enter into and perform these terms;

4.1.2 it complies with all applicable laws, rules and regulations and any industry codes or rules (by which the Advertiser or the Company may be bound) that are in force at the time the Advertisement is to be inserted;

4.1.3 the Advertisement does not contain any material that shall breach any contract or infringe or violate any copyright, trademark or any other personal or proprietary right of any person or render the Company liable to any claims or proceedings whatsoever;

4.1.4 in respect of any Advertisement submitted which contains the name or pictorial representation (photographic or otherwise) of any living person and / or any part of any living person and / or copy by which any living person is or can be identified, the Advertiser has obtained any authority of such living person to make use of such name, representation and / or copy;

4.1.5 the Advertisement submitted is not obscene or libellous;

4.1.6 the Advertisement and any information submitted must be legal, decent, honest and truthful and comply with the Advertising Standards Council of India (ASCI) and all other relevant codes under the general supervision of the Advertising Standards Council of India (ASCI);

4.2 The Advertiser agrees to indemnify the Company and keep it indemnified against all claims, costs, proceedings, demands, losses, damages or expenses whatsoever arising directly or indirectly as a result of any breach or non-performance of any of the representations, warranties or other terms herein contained or implied by law.

  1. Payment

5.1 The Company will invoice the Advertiser for the agreed Advertising Rate following the Company’s Advertising Booking Form or email. Invoices will be due and payable within 30 days of the date of the invoice or advance payment.

5.2 Subject to clause 5.3 below, the Advertising Rate to be paid by the Advertiser is the rate agreed with the Company at the time when the booking is received by the Company subject to any discounts agreed in writing by the Company. The Company reserves the right to change the Advertising Rate at any time without notice.

5.3 In the event that the Company discovers an error in the price of the Advertising Space booked by the Advertiser, the Company shall notify the Advertiser as soon as possible providing the Advertiser the option of either reconfirming the booking at the correct price or cancelling the booking. If the Company is unable to contact the Advertiser for the purposes of this clause 5.3, the booking shall be deemed cancelled and where the Advertiser has already made payment for the Advertising Space this shall be refunded in full.

5.4 In the event that payment is not made by the due date in accordance with clause 5.1 above (in respect of which time shall be of the essence) the Company reserves the right to charge interest on the amount outstanding at a rate of 2% above the base rate of accruing daily. 

  1. Agreement Cancellation

6.1 The Advertiser shall have a period of 1 Days from the date of the Company’s acceptance of a booking in which it may issue a Notice of Cancellation. Cancellations are subject to a 50 % cancellation fee.

6.2 No cancellation will be accepted following the period of 1 Days from the date of the Company’s acceptance of a booking in accordance with clause 2.3. The Company reserves the right to repeat previous accepted Advertising Copy if an Advertising Copy or email  is not received by the advert artwork Production Deadline and shall be paid by the Advertiser in full for the Advertising Space booked.

  1. Indemnity and Liability

7.1 Nothing in these Terms excludes or limits the liability of the Company for death or personal injury caused by the negligence of the Company or any other liability which may not otherwise be limited or excluded under applicable law.

7.2 Subject to clauses 7.1 and notwithstanding this clause 7, the Company’s aggregate liability (whether in contract, or otherwise) for loss or damage shall in any event be limited to a sum equal to the amount paid or payable by the Advertiser for the Advertising Space in respect of one incident or series of incidents attributable to the same clause.

7.3.1 economic losses (including without limitation loss of revenues, data, profits, contracts, business or anticipated savings); or

7.3.2 loss of goodwill or reputation; or

7.3.3 special or indirect losses

suffered or incurred by that party arising out of or in connection with the provision of any matter under these Terms.

7.4 The Advertiser shall indemnify the Company against any claim, cost, loss, damage and/or expense that the Company may incur as a direct or indirect consequence of the Company publishing the Advertisement in accordance with the instructions of the Advertiser.

  1. Miscellaneous Provisions

10.1 This Agreement shall be governed by the laws of India and any dispute will be resolved exclusively in the courts of Gurugram.

10.2 The Company shall be under no liability for any delay or failure to deliver Advertising Space or otherwise perform any obligation as specified in these Terms if the same is wholly or partly caused whether directly or indirectly by circumstances beyond its reasonable control.

10.3 If any portion of these Terms is held by any competent authority to be invalid or unenforceable in whole or in part, the validity or enforceability of the other sections of these Terms shall not be affected.

10.4 No delay or failure by the Company to exercise any powers, rights or remedies under these Terms will operate as a waiver of them nor will any single or partial exercise of any such powers, rights or remedies preclude any other or further exercise of them. Any waiver to be effective must be in writing and signed by an authorised representative of the Company.

Features and functionalities of EezyLife

  • Event and Activity Module

These are generally used to create events or activities organized within particular societies. Admin team members are allowed to create an event or activity. After creating an event or activity using the admin panel, admin members can select associated things such as event or activity category & description, time, date, days, and members.

Society residents will be notified about a particular event or activity through EezyLife mobile app. Interested people of society can apply to join a particular event or activity which will be seen by the admin member. Through this one will know how many interested participants are there from society and can have a count on it. For example, if there is an event of Festival Pooja.

then the admin member will be responsible for doing all the description work and can later notify residents of society for their response regarding a particular function. Also, Admin can cancel bookings whenever he wants as per their choice and has the right to change activity details like date, time, and slot eligibility. 

Through these services, one can book your society hall whenever required, so that no other person could able to book the hall for the same day or timing. It keeps records of upcoming meetings and attendance is maintained. It helps you to further accelerate different events and activities. 

  • Polls

No doubt people in today’s generation have a different mindset. Polls are used by society admins for elections, surveys. With the help of this service important decisions are to be carried out to generate a fair decision.

The society Admin team has the right to create polls and are responsible for controlling and handling polls in society. Once the polls are created by Admins, everyone will receive notification regarding it. The further voting process can be done online to get an overview of the society residents and society users respond to give their vote to polls using EezyLife mobile app. After submission one cannot change their vote. It encourages non-committee members to come forward and to be part of the managing committee.

  • Society Directory

The app also provides you the option of Society Directory where numbers of all society residents are stored. 

All the residents registered in the EezyLife app is entered by the society admins. Residents can check contact details for the neighbors, the management team of the society, and emergency numbers. So that in case of emergency you can easily get connected whenever required.

  • Notice

Notice board generally reminds you of a wooden plank but here we are talking about digital notice board.

Usually, this space is used to upload important notices regarding society and society residents. The society admin team is responsible for circulating any type of notice within the society and can control the start and end date of the notice.

  • Lost & Found

For better customer satisfaction, the EezyLife app enables you to make use of this service. If anybody in society found any object, material, valuable things in society area,

It will submit in society’s office. The Admin team will update the found thing in the Lost & Found section, which is visible to all society residents in the EezyLife app. Later on, residents can claim their belongings by submitting proof while visiting the admin office and then collect the object. Without verification, no object is to be handover to any person by the admin team.

  • Complaint Management

To handle society’s operations conveniently and smoothly, the complaint management committee is really important for societies. More or often society faces lots of turbulence due to the above issue and later on left creating a huge mess. Any society resident can raise their complaint regarding society-related problems such as electricity, cleaning, plumbing, etc.

Admin and maintenance team is responsible for maintaining the TAT of customer complaints and requests and will later assign the service person as per the complaint category. Only the Admin team has the right to share the assigned service person name and phone number. One complaint is resolved the request will be closed by the residents from the mobile app or can also close by the admin from the portal. If required then the complaint can be reopened again by the admin member.

  • Utility Online Bill Payment

The EezyLife app allows its owners to view and pay their society bills. Admin is responsible for creating Utility Bills regular or one time bills for the society which includes electricity, water, gas, maintenance, etc.

The app has outstanding UI which is super-fast and supports all the swipes commonly used on smartphones whether android or IOS both. The app provides you a better way of paying bills via UPI. Residents can easily pay the due bills through the EezyLife app and the amount paid by the residents will directly be submitted to the society bank account. Any late payment charges applied to the residents are controlled and maintained by the society admin team.

  • Employee Attendance

Biometric devices are installed in the system to provide online attendance of the employees. So that social security and service employees can easily mark their attendance daily. Admin has the right to register their employees for the biometric attendance.

  • Parking Management

EezyLife provides you better Parking Management Solution. The app delivers intelligent parking programs and solutions for drivers

Parking is categorized into 3 types:

  • Free Parking
  • Open Parking
  • Basement Parking (Premium Parking)

Society Admin and security team has full access and control over parking spaces and allotment, security, etc. Society will decide if they want their parking slots will be free from charges or what charges they need to take from visitors. 

Security Guard will provide slots at the time of the Visitor’s entry. Once the entry is done by the EezyLife app then it is easy for admin to check the number of vehicle entries daily or monthly basis. The owner can rent their parking with other residents under the supervision of RWA and even society or RWA can run paid parking inside the society premises for the visitors.

EezyLife provides a comprehensive suite of solutions for vehicle parking by automated parking access and event parking. Also, it is a good revenue generation service for societies.

  • Visitors Management

The visitor’s management system is based on one of the most advanced and desirable features of today’s century i.e. through face recognition technology.

Instead of relying on pen and paper security methods, we can now make full use of such an electronic-based system. At the time of installation of the device, you are provided with the Face Recognition hardware. The system captures facial details and stores the data in the database of the computer in the first visit to the society. As a result, when a person visits the society for the next time, the system will match your newly captured facial details with the old stored patterns. If systems match and detect all your details, it will grant permission. Even the admin can check the visit of visitors daily and resident can also check their visitors in my visitor section of the resident app.

Also, society residents can invite any visitor by going to My Visitors option, in which invite visitor option is present. After that resident can mention the necessary details asked by the EezyLife app so that at the time of entry invited visitors can

easily check-in by just telling guard the 4- digit pin. Parking charges taken from visitors is controlled and maintained by society admin or RWA Team

  • Vendors Management

Vendors are the permanent or non-permanent staff person who provides various services to society and society residents such as food making, cleaning, maintenance services, gardening, etc. So it is very important to maintain all the personalized data and details of the vendors who often visit the society. The EezyLife app helps to keep the record of each vendor.

Admin Team or security supervisor of the society is responsible for the activities and will register vendors using biometric and other details. During the time of vendor registration, the vendor has to provide mobile number, aadhar card photo, contract documents (provided by the society), and start and end date of the service. Every time vendor visits the society he/she needs to do the entry on the biometric device for In and Out time record.

  • SOS

The EezyLife society management app provides the facility of SOS which is an advanced security feature provided to residents which they can use in case of emergency so that quick actions can be taken.

Once the resident presses the SOS button an alarm will start ringing in Guard phone app. In which they get information about the person who requested for Emergency help. Also, Admin can track the record of SOS requests in the society through their portal.

EezyLife Guard

The EezyLife guard app is mainly for the security guard of a particular society. So that they easily manage all the activities through the EezyLife mobile app.  

Guard is registered by Admin Team member by filling details like Mobile number, aadhar card details and photo, photograph, and email id and password. This email id and password is the login credential for Guard app

Features of EezyLife Guard

  • With the help of EezyLife Guard, Guard can register visitors by filling information like Mobile number, name, vehicle number or vehicle number photograph, vehicle type, Tower and flat number, and visitor’s type.
  • After filling the above details he can allot the applicable parking.
  • Using the EezyLife app, Guard can do registration and parking allotment, can maintain In & Out time, parking charge collection (if paid parking applicable).
  • Security Guard will provide the parking slot at the time of visitor entry.
  • With the help of the EezyLife Guard app, Guard can maintain all the records for parking vehicles.
  • If any new visitor visits the society then the guard has full access to add his description from the column Add New Visitors.

Daily visitors section is present in EezyLife Guard which is managed by Guard. Daily visitors can be maid, delivery person, society employees, security person, etc. All the necessary documentation entry is required in the first visit of daily visitors. Later on, they just have to mark check-in and check-out timing.

Guard can easily get to know about all the active and upcoming visitors through the Visitor List option. Also, he can check out the previous visitor’s list if required from the history of visitors list.

SOS security feature is also present in EezyLife Guard as in case of emergency alarm will start ringing in Guard phone app so that the Guard will get the information regarding the person who requested for emergency help.

EezyLife Guard provides a full list of the society residents who have asked for emergency help through SOS service.
